These Terms and Conditions constitute a legally binding agreement between you and Hortiprise Software Solutions Pvt. Ltd. ("Hortiprise", "we", "us", or "our"), the company that owns and operates the Hortiprise platform. Hortiprise was founded in 2025 and incorporated in 2026 under the laws of India, with its registered office at Civil Lines, Bareilly 243001, India, and its head office at Sector 71, Gurugram, Haryana, India.

By accessing, browsing, or using the Hortiprise platform (including our website, mobile applications, and related services), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you must not use our services. Your continued use of our platform constitutes acceptance of any updates to these terms.

To use Hortiprise, you must meet the following eligibility requirements. By accessing the platform, you represent and warrant that you satisfy each of these conditions.

Age Requirement

Must be at least 18 years old.

Legal Capacity

Capable of entering into binding contracts.

Jurisdiction

Subject to Indian laws and regulations.

We grant you a limited, non-exclusive, non-transferable right to access and use the Hortiprise platform in accordance with these terms. Your usage falls into two clear categories.

All content, features, functionality, software, logos, trademarks, and other materials on the Hortiprise platform are owned by Hortiprise or our licensors and are protected by intellectual property laws in India and internationally.

You may not copy, modify, distribute, sell, or lease any part of our services or software, nor may you reverse-engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

Certain features of Hortiprise are offered as paid subscriptions. By subscribing, you agree to the pricing, billing, and cancellation terms displayed at the time of purchase, as well as the conditions outlined below.

Some features require paid subscriptions.

Currency

All fees are in INR and non-refundable.

Price Changes

Pricing may change with prior notice.

Your use of our services is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our platform, you consent to our data practices as described in our Privacy Policy.

In addition to the prohibited activities listed in Section 3, you specifically agree not to engage in any of the following on or through the Hortiprise platform.

• Harassing, threatening, or abusing other users in any form
• Spamming, phishing, or distributing malicious software
• Attempting to gain unauthorized access to any account or system
• Using the platform for any illegal or fraudulent purpose

We reserve the right to suspend or terminate your account, with or without notice, for any violation of these Terms and Conditions or for conduct that we believe is harmful to other users, to us, or to third parties.

Upon termination, your right to use the platform will cease immediately. Sections of these terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, and limitations of liability — will survive.

The Hortiprise platform and all related services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, Hortiprise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the platform.

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Any disputes arising out of or relating to these terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts located in Bareilly, Uttar Pradesh, India.
